edson design aims to make reasonable agreements and to create collaborations where both parties end up with the desired outcome. In the event that this doesn’t occur, this disclaimer holds a set of rules and information to protect edson design’s efforts and resources that have been put into the work. These rules are utilized when a collaboration does not proceed in a desired direction.
ownership rights
Until the work is paid in full, all work created by edson design is owned by edson design. Once a project is fully paid by the client, ownership of the project is then transferred to the client. If the work/design is not owned by the client, the work/design cannot be published, publicly or privately used, or distributed by the client. If the work/design is used in the aforementioned manner without the express permission of edson design, legal matters may be used to rectify the issues.
In the event that a project is cancelled, unfinished, or payment is not complete, edson design will store the work/design and retain ownership rights. Any variations or drafts of the work/design that have been developed sent/shared during the project, these also cannot be used or published by the client.
payment guide and late fees
When the work/design is completed and delivered, edson design will issue an invoice with a set
payment date of 10 business days after the issue date of the invoice. Unless agreed upon otherwise, the client is then required to make the payment before the due date.If a client misses the payment due date, a reminder is issued with a new set due date of 10 business days after the issue date of the reminder.
First Penalty - If the invoice is not fulfilled with this final reminder, a new invoice will be issued with the addition of a 10% late fee of the original total invoice amount with an additional 10 business days of payment time.
Second Penalty - In the event that the invoice is again not fulfilled, a new invoice is issued with an additional 20% late fee of the total invoice amount from the first penalty, with another due date of 10 business days.
Third and Final Penalty - If this invoice is neglected, a final invoice will be issued with the addition of a 30% late fee of the total amount from the second penalty and a final payment due date of 10 business days after issue. If the due date of the third and final penalty is not met, legal actions will be taken to ensure payment is completed and/or the work is not used, published, or distributed by the client due to ownership rights.
Other payment agreements may be arranged, such as paying in installments. But these altered payment arrangements outside of edson design’s normal payment guides need to be discussed prior between the client and edson design so that they may be stated on the invoice as a new binding agreement between edson design and the client. For these types of altered payment agreements, a similar late fee payment structure will also be applied when payment due dates are not met - as stated in the previous sections of the payment guide.
